1. About these terms
These terms are an agreement between you, the business using Cappo, and us: Retail IT Group (Pty) Ltd (registration number 2026/064824/07), trading as Cappo ("Cappo", "we", "us").
By starting a trial, subscribing or using Cappo, you agree to these terms on behalf of your business. If you don't agree, please don't use Cappo. The person accepting these terms confirms they're authorised to do so for the business.
Cappo is a business system for companies, not for personal or household use.
2. Your account and your users
- Your business has one Cappo account. Each plan includes unlimited users, companies (where your plan allows it), shops, locations and products.
- You choose who in your business can use Cappo and what each person can see and do. You're responsible for everything done through your account, and for keeping sign-in details safe. Tell us straight away at support@cappohq.com if you think someone has used your account without permission.
- Please keep your account details, including your billing contact, accurate and up to date.
3. Free trial
- Every plan comes with a 30-day free trial. You don't need to give payment details to start.
- During the trial you can switch to a different plan. Cappo always shows you what a plan costs before you confirm a switch.
- Trial accounts have a daily limit on the number of emails Cappo can send. The limit is lifted when you subscribe.
- If you loaded sample data, you can remove it at any time. It's removed automatically when you subscribe.
- If you don't subscribe by the end of the trial, your account is paused. We keep your data for 30 days and email you before we delete it. Subscribing within that time brings everything back.
4. Plans, prices and payment
- Our plans, what each one includes, and their prices are shown on our pricing page. All prices are in rand and exclude VAT. VAT is added to your invoice.
- Monthly plans are paid in advance each month by debit order.
- Yearly plans are paid in advance for the full year, at the yearly discount shown on our pricing page. Yearly payments can't be refunded.
- Your invoice shows your plan, any add-ons and any extra storage as separate lines.
- Extra storage: each plan includes the storage shown on our pricing page. If you use more, extra storage is charged at the rate on our pricing page. Nothing stops working if you go over. We warn you by email and on screen at 80% and 100%.
- Upgrades take effect immediately. You pay the difference, worked out pro rata for the rest of your billing period.
- Downgrades are available on monthly plans only, on request through our support team, and take effect from your next billing period. Yearly plans can't be downgraded during the year.
- Downgrading never deletes your data. Features no longer included become read-only, and your data stays safe until you upgrade again or ask us to remove it.
- Price changes: we'll give you at least 30 days' notice by email before a new price applies to you. A yearly plan keeps its price until it renews.
- Payment that fails: if a payment fails or isn't made, we may pause access to your account until it's paid. Your data is kept safe, and access returns as soon as payment clears.
- Setup and other services, such as Quick Start setup, implementation and custom add-ons, are quoted and agreed separately.
5. Your data
- You own your data: everything you and your users put into Cappo. We use it only to provide Cappo to you, as you instruct, and as these terms and our privacy policy describe. We never sell it.
- Under the Protection of Personal Information Act (POPIA), you're the responsible party for any personal information you put into Cappo, for example your customers' and staff's details. We act as your operator. Our privacy policy explains how we protect it.
- Your data is hosted in South Africa.
- We keep backups so we can recover from problems. Backups are kept for a limited time and are not a replacement for your own records.
- You can ask for an export of your data at any time while your account is active, and for 30 days after it ends. After that we delete it, except where the law requires us to keep something.
6. Using Cappo properly
You agree not to, and to make sure your users don't:
- use Cappo for anything unlawful, or to store or send unlawful, harmful or offensive material;
- send spam or unsolicited marketing through Cappo;
- try to get into accounts, data or parts of Cappo you're not meant to reach, or test, probe or overload Cappo's security or systems;
- copy, change, take apart or try to get the source code of Cappo, or build a competing product from it;
- resell, rent out or share access to Cappo, unless you're an approved Cappo reseller under a separate agreement with us.
We may pause access straight away if we reasonably believe an account is being used in a way that puts Cappo, our other clients or anyone else at risk. We'll tell you why as soon as we can.
7. Emails sent through Cappo
- Cappo sends emails on your behalf, such as documents to your suppliers and customers. On plans without your own sending domain, these show your business name, "via Cappo".
- You're responsible for the content of emails sent from your account, and for having a lawful reason to email each recipient.
- To protect every client's emails, we may pause your account's sending if too many emails bounce or are marked as spam. We'll let you know when we do.
8. Connections to other services
Cappo can connect to other services, such as BeyondID RFID, Xero, Sage and banks. Those services are provided by other companies under their own terms. We're not responsible for their services, availability or changes to them. Licences and hardware for those services, such as BeyondID RFID licences and hardware, are bought directly from those companies.
9. Availability and support
- We work hard to keep Cappo available, secure and working well, but we can't promise it will never be interrupted. Planned maintenance is done at quiet times where possible, with notice when it may affect you.
- Support is available through the help, chat and ticket options in Cappo, and at support@cappohq.com.
- We improve Cappo all the time. We may add, change or remove features, but we won't remove a core feature of your plan during a paid period without telling you first.
10. Who owns Cappo
Cappo, including its software, design, content and brand, belongs to us. Your subscription gives your business the right to use Cappo for as long as your subscription is active. It doesn't transfer any ownership. If you send us ideas or feedback, we may use them freely.
11. Confidentiality
Each of us will keep the other's confidential information private, and use it only for the purposes of this agreement, unless the law requires otherwise.
12. Our responsibility to you
- Cappo is provided as it is and as available. We don't guarantee that it will be free of errors or suit every purpose.
- To the extent the law allows, we're not responsible for indirect or consequential losses, such as lost profits, lost business or lost data that could have been recovered from your own records.
- To the extent the law allows, our total responsibility for any claim is limited to the fees you paid us in the 12 months before the claim arose.
- Nothing in these terms limits any right you have that the law doesn't allow to be limited.
13. Your responsibility to us
You agree to cover us for any claims, losses or costs that arise from your data, the emails you send through Cappo, or your use of Cappo in breach of these terms or the law.
14. Ending your plan
- Monthly plans: cancel at any time with notice to support@cappohq.com. Cancellation takes effect at the end of the billing month in which you give notice.
- Yearly plans: run to the end of the paid year.
- Our right to end it: we may end your subscription if you seriously breach these terms and don't fix it within 14 days of being told, or straight away for a serious breach that can't be fixed.
- When your plan ends, your access stops, and your data is handled as described in section 5.
15. Changes to these terms
We may update these terms from time to time. We'll tell you about important changes by email or in Cappo at least 30 days before they apply. If you keep using Cappo after that, the new terms apply.
16. General
- These terms are governed by the laws of South Africa. Disputes go to the courts of KwaZulu-Natal.
- We may send notices to the email address on your account. Messages and agreements made electronically count as being in writing.
- If any part of these terms can't be enforced, the rest still applies.
- You can't transfer your account to someone else without our written agreement.
- These terms, together with our pricing page and any separate written agreement for services, are the whole agreement between us about Cappo.
